Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Sadie’s websites, applications, software, calculators, payroll tools, employee tools, documents, communications, and related services (collectively, the “Services”).
These Terms are an agreement between you and Archera, LLC, doing business as Sadie (“Sadie,” “we,” “us,” or “our”).
By creating an account, clicking to accept these Terms, purchasing a subscription, or accessing or using the Services, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use Sadie.
1. What Sadie is
Sadie is household payroll software designed to help household employers calculate, organize, and maintain information relating to household employment.
Depending on the features available to you, Sadie may help you:
- calculate gross wages and estimated take-home pay
- calculate estimated employer payroll costs
- estimate federal, state, and local payroll taxes
- calculate overtime, paid time off, guaranteed hours, and other payroll adjustments
- maintain payroll histories and employment records
- generate pay stubs and payroll-related documents
- prepare figures and information that may be useful in completing tax forms
- generate W-2-related and Schedule H-related figures
- track tax and payroll deadlines
- send payroll, tax, and compliance reminders
- manage employee information, schedules, time-off requests, and schedule changes
- track reimbursements and expenses
- provide educational information regarding household employment
Sadie is not a payroll tax filing service, tax preparer, accounting firm, law firm, professional employer organization, employer of record, fiduciary, bank, money transmitter, or payroll funds processor.
Unless a particular Sadie feature expressly states otherwise, Sadie does not:
- file federal, state, or local tax returns for you
- submit tax forms to government agencies
- remit taxes to government agencies
- withdraw tax funds from your bank account
- transfer wages to employees
- process direct deposits
- submit employer registrations
- submit new-hire reports
- communicate with government agencies on your behalf
You remain responsible for completing all actions required to pay your employee and comply with applicable law.
2. You are the employer
Using Sadie does not change the legal relationship between you and your household employee.
You, not Sadie, are the employer.
You are responsible for determining and complying with all obligations applicable to your household employment relationship, including:
- properly classifying workers
- complying with minimum-wage requirements
- complying with overtime requirements
- complying with wage-payment laws
- complying with paid-leave and sick-leave requirements
- complying with meal, rest, scheduling, and recordkeeping requirements where applicable
- obtaining required employer identification numbers and registrations
- completing required new-hire reporting
- complying with unemployment-insurance requirements
- complying with workers’ compensation requirements
- withholding amounts required or authorized by law
- paying your employee accurately and on time
- filing required tax forms and returns
- paying required taxes
- providing required employment notices and documents
- maintaining legally required records
Sadie may provide calculations, reminders, educational materials, or tools relating to these obligations, but use of Sadie does not transfer your legal responsibilities to Sadie.
3. Payroll and tax calculations
Sadie calculates payroll and tax estimates using information you provide and tax rates, thresholds, rules, publications, and other information obtained from governmental and other sources we believe to be reliable.
Calculations may depend on facts that Sadie does not know, including an employee’s complete tax circumstances, work location, filing elections, benefits, prior wages, other employment, household-specific exemptions, local laws, and other circumstances.
For that reason, payroll calculations, tax estimates, deadlines, and related outputs should be reviewed before you rely on them.
Sadie does not guarantee that any calculation, estimate, tax figure, deadline, form value, or other output will be complete or correct for your particular circumstances.
4. Tax forms and year-end documents
Sadie may generate or provide:
- payroll summaries
- pay stubs
- wage histories
- W-2-related figures
- Schedule H-related figures
- tax worksheets
- tax summaries
- reports
- other payroll or employment documents
Unless Sadie expressly states otherwise, generating a form, report, number, or document does not mean that Sadie has filed, transmitted, mailed, or submitted that information to any government agency, employee, tax authority, or other recipient.
You are responsible for reviewing generated information for accuracy, correcting errors, filing required forms, delivering required documents, paying taxes, and meeting applicable deadlines.
5. No tax, legal, accounting, or financial advice
Sadie provides software, calculations, educational content, reminders, and general information.
Nothing provided through Sadie constitutes individualized tax, legal, accounting, financial, employment, or other professional advice.
Sadie is not a substitute for advice from an attorney, CPA, enrolled agent, tax professional, financial professional, or other qualified adviser familiar with your specific circumstances.
If your situation is unusual, uncertain, disputed, or complex, you should consult a qualified professional.
6. Your information must be accurate
Sadie’s calculations and outputs depend on the information entered into the Services.
You agree to provide accurate, current, and complete information and to update information when it changes.
This may include:
- employee identity information
- employment start dates
- work locations
- pay rates
- pay schedules
- hours worked
- overtime hours
- schedules
- paid time off
- guaranteed hours
- reimbursements
- tax elections
- prior wages
- employee status
- other information used by Sadie
You are responsible for reviewing payroll and tax outputs before relying on them.
If information entered into Sadie is inaccurate, incomplete, late, or outdated, the resulting calculations, documents, reminders, and reports may also be inaccurate.
Sadie is not responsible for errors resulting from inaccurate, incomplete, outdated, or misleading information provided by you, an employee, or another authorized account user.
7. Employee and household-member information
You may provide Sadie with personal information about employees, household members, family members, advisers, or other people.
You represent that you have the legal right and authority to provide that information to Sadie and to instruct us to process it for purposes of providing the Services.
You are responsible for providing any notices and obtaining any authorizations, permissions, or consents required by law before providing another person’s information to Sadie.
8. Household users and account access
You may invite another household member or authorized person to access your Sadie account.
You are responsible for deciding who receives account access.
Authorized users may be able to view or change payroll, employee, tax, billing, calendar, document, or account information depending on the permissions Sadie makes available.
You are responsible for removing access when a user should no longer have access to the household account.
9. Account security
You must provide accurate registration information and maintain the confidentiality and security of your login credentials.
You may not permit unauthorized people to access your account.
You are responsible for activity occurring through your account or through accounts you authorize, except to the extent caused by Sadie’s failure to use reasonable security practices.
You must notify us promptly if you believe your account has been compromised or used without authorization.
You must maintain access to the email address, authentication provider, or other account you use to sign in to Sadie.
10. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to create an employer account.
Sadie is currently intended primarily for household employment relationships in the United States unless we expressly state otherwise.
You may not use Sadie if your use of the Services would violate applicable law.
11. Free use and paid subscriptions
Certain Sadie features may be available without charge.
Your first payday may be available free of charge and without a credit card.
After the first free payday, an active paid subscription may be required to calculate additional paydays or generate new ongoing payroll or tax outputs.
Existing records may remain available after a free period or paid subscription ends, subject to these Terms, account status, product availability, and our data-retention policies.
12. Pricing
Unless a different price, promotion, discount, or agreement is presented to you, Sadie’s standard subscription pricing is:
$12.99 per month for the first active employee, plus $4.99 per month for each additional active employee.
For example:
- 1 active employee: $12.99/month
- 2 active employees: $17.98/month
- 3 active employees: $22.97/month
An “active employee” generally means an employee who remains active in your Sadie household account during the applicable billing period.
Applicable taxes may be added to subscription fees where required.
13. Billing
You agree to pay all fees disclosed to you before purchasing a paid Service.
Sadie may use one or more third-party payment processors to process subscription payments.
You authorize Sadie and its payment processors to charge your selected payment method for amounts you authorize.
At certain stages of Sadie’s development, self-service billing functionality may not automatically collect payment when a plan is selected or changed. If payment must be completed separately, Sadie may provide instructions.
If Sadie enables recurring automatic billing, the applicable recurring amount and billing frequency will be disclosed before you subscribe.
By purchasing a recurring subscription, you authorize the applicable recurring charges until you cancel.
We may change prices prospectively. If we materially increase the price of an existing paid subscription, we will provide notice before the new price applies where required by law.
14. Subscription renewal
Paid subscriptions may automatically renew at the end of each billing period unless canceled before the next renewal date.
If automatic renewal applies, Sadie will continue charging the payment method associated with your account at the then-current applicable subscription price until canceled.
Any disclosures required by applicable automatic-renewal laws will be presented during the subscription process.
15. Canceling a subscription
You may cancel your paid subscription through the cancellation method Sadie makes available.
Canceling your subscription prevents future subscription renewals after the applicable cancellation takes effect.
Unless otherwise stated during cancellation, you may continue using paid features through the remainder of the billing period for which you already paid.
Canceling a subscription does not delete or close your Sadie account.
Unless required by law or expressly stated otherwise, fees already charged are nonrefundable.
16. Closing your Sadie account
Closing your Sadie account is separate from canceling your subscription.
Only an account user with appropriate administrative authority may request that a household account be closed.
After a close-account request, the account will generally remain inactive for 14 days.
During that period, an authorized administrator may reopen the account.
After the 14-day period, Sadie may permanently delete the account and associated information in accordance with our Privacy Policy and applicable law.
Once permanent deletion has occurred, the account and deleted information cannot be restored.
You are responsible for downloading any payroll records, tax figures, pay stubs, employee documents, reports, or other information you need before permanent deletion.
Sadie may retain limited information where required or permitted by law, including information reasonably necessary to:
- comply with legal obligations
- maintain financial records
- resolve disputes
- enforce agreements
- prevent fraud or abuse
- protect Sadie or others
17. Record retention
Household employers may be legally required to retain payroll, wage, tax, employment, or other records for a number of years.
Sadie may help you store records, but Sadie is not your legal records custodian.
You are responsible for determining:
- which records you must retain
- how long they must be retained
- whether you need independent copies outside Sadie
You should download any records you need before permanently closing your account.
18. Schedules, time off, and payroll changes
Sadie may allow employers and employees to enter, request, modify, or approve:
- work schedules
- time off
- paid time off
- unpaid time off
- guaranteed hours
- additional hours
- schedule changes
- reimbursements
- other payroll-related events
An entry or approval in Sadie records information in the Services.
It does not independently determine whether an employment practice is lawful or whether payment is legally required.
The employer remains responsible for ensuring that pay practices, schedules, leave policies, and approvals comply with applicable law and any employment agreement.
19. Reimbursements
Sadie may allow employees to submit expenses, receipts, mileage, or reimbursement requests and employers to approve or record those requests.
Sadie does not determine whether an expense is legally required to be reimbursed or whether it qualifies for any tax treatment.
Unless Sadie expressly provides a money-transfer feature, Sadie does not transfer reimbursement funds.
The employer remains responsible for making any required reimbursement payment.
20. Calendar integrations
Sadie may permit you to connect calendars or other third-party services, including services provided by Google, Apple, or Microsoft.
If you connect a third-party calendar or account, you authorize Sadie to exchange information reasonably necessary to provide the synchronization or integration you request.
Third-party services are governed by their own terms and privacy policies.
Sadie does not control third-party services and is not responsible for their availability, security, accuracy, functionality, or changes.
Disconnecting an integration may stop future synchronization but may not remove information previously transferred to the third-party service.
21. Third-party services
Sadie may rely on or integrate with third-party providers for:
- authentication
- hosting
- payment processing
- SMS
- calendar synchronization
- analytics
- document processing
- customer support
- other functionality
We are not responsible for third-party services outside Sadie’s reasonable control.
Your use of third-party services may be governed by additional terms.
22. Communications and reminders
Sadie may send transactional or service-related communications concerning:
- payroll
- payday
- employee requests
- schedules
- tax deadlines
- account security
- documents
- billing
- subscription status
- account activity
These communications may be sent by email, SMS, or another channel you enable.
You may be able to manage certain notification preferences through your account.
Essential security, legal, billing, or operational communications may still be sent while your account remains active.
Message and data rates may apply to text messages.
Marketing communications will be subject to any additional consent required by law.
23. Deadlines and reminders
Sadie may display or send reminders concerning payroll, tax, employment, or other deadlines.
Reminders are provided as a convenience.
You remain responsible for knowing and meeting applicable legal deadlines even if:
- Sadie does not send a reminder
- a reminder is delayed
- a reminder contains an error
- an email or text is not delivered
- you disable notifications
You should not rely solely on Sadie reminders to satisfy legal obligations.
24. Acceptable use
You may use Sadie only for lawful purposes.
You may not:
- access another person’s account without authorization
- use Sadie to commit fraud or tax evasion
- use Sadie to facilitate wage theft or unlawful employment practices
- submit information you are not authorized to provide
- interfere with or disrupt the Services
- introduce malicious code
- attempt to bypass security controls
- scrape or systematically extract information except as permitted by law or Sadie
- reverse engineer Sadie except where applicable law expressly allows it
- impersonate another person
- use Sadie in violation of applicable law
- use the Services in a way that creates unreasonable security, legal, or operational risk
We may investigate suspected misuse.
25. Intellectual property
Sadie and its software, branding, interfaces, designs, content, calculations, workflows, documentation, graphics, and other materials are owned by Archera, LLC or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms, Sadie grants you a limited, nonexclusive, nontransferable, revocable license to use the Services for lawful household-employment purposes.
You may not copy, sell, license, distribute, or commercially exploit Sadie’s software or proprietary materials except as permitted by us or applicable law.
26. Your content and data
You retain ownership of information and documents you submit to Sadie.
You grant Sadie the rights reasonably necessary to host, store, process, reproduce, transmit, display, and otherwise use that information for purposes of:
- providing the Services
- maintaining the Services
- securing the Services
- supporting users
- complying with law
- improving Sadie as described in our Privacy Policy
27. Feedback
If you voluntarily provide suggestions, ideas, comments, or other feedback about Sadie, you grant us the right to use that feedback without restriction or compensation to you.
This does not give Sadie ownership of your personal information.
28. Changes to Sadie
We may add, modify, suspend, or discontinue features from time to time.
Payroll laws, tax rules, government publications, tax rates, and third-party systems change regularly, and Sadie may change its Services in response.
We do not guarantee that every feature will remain available indefinitely.
29. Suspension or termination by Sadie
We may restrict, suspend, or terminate access to Sadie where we reasonably believe:
- your account has been compromised
- you violated these Terms
- you have not paid amounts due
- your use creates security or legal risk
- your use may harm another person
- suspension is reasonably necessary to protect Sadie or others
Where reasonable under the circumstances, we may provide notice or an opportunity to correct the issue.
30. Service availability
We work to keep Sadie available and accurate.
However, Sadie may experience:
- interruptions
- maintenance
- delays
- software bugs
- calculation errors
- synchronization problems
- third-party outages
- unavailable features
We do not guarantee uninterrupted or error-free operation.
Do not wait until the final moment before a payroll, tax, or legal deadline to use Sadie.
31. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SADIE AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ARCHERA, LLC DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN THESE TERMS, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL ALWAYS BE AVAILABLE
- THE SERVICES WILL BE ERROR-FREE
- EVERY CALCULATION WILL BE CORRECT FOR YOUR CIRCUMSTANCES
- EVERY REMINDER WILL BE DELIVERED
- EVERY GOVERNMENT RULE WILL BE REFLECTED IMMEDIATELY
- USING SADIE WILL CAUSE YOU TO COMPLY WITH EVERY TAX, PAYROLL, OR EMPLOYMENT LAW THAT APPLIES TO YOU
Nothing in these Terms limits rights that cannot legally be waived.
32. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHERA, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO SADIE OR THESE TERMS.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW:
- LOST PROFITS
- LOST DATA
- LOST BUSINESS OPPORTUNITY
- TAX PENALTIES RESULTING FROM USER ERROR
- EMPLOYMENT CLAIMS RESULTING FROM USER CONDUCT
- MISSED DEADLINES
- THIRD-PARTY SERVICE FAILURES
- LOSS OF GOODWILL
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHERA, LLC’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- (A) THE AMOUNT YOU PAID SADIE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM
- (B) $100
These limitations do not apply where prohibited by law.
33. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Archera, LLC and its affiliates, officers, directors, employees, agents, and contractors from third-party claims, losses, liabilities, damages, and reasonable expenses arising from:
- your unlawful use of Sadie
- your violation of these Terms
- your violation of applicable law
- your employment practices
- information you provide without proper authority
- claims arising from decisions or actions you take as an employer
You are not required to indemnify Sadie for Sadie’s own unlawful conduct.
34. Privacy
Our collection, use, storage, and disclosure of personal information are described in Sadie’s Privacy Policy.
The Privacy Policy is incorporated into these Terms by reference.
Because Sadie may process sensitive payroll, employee, and tax-related information, you should review the Privacy Policy before using Sadie or providing employee information.
35. Electronic communications and signatures
You consent to receive Terms, notices, billing records, account communications, and other records electronically.
To the extent permitted by law, electronic acceptance through Sadie has the same legal effect as a handwritten signature.
You are responsible for maintaining the equipment, software, internet access, and email account necessary to receive electronic records.
36. Changes to these Terms
We may update these Terms from time to time.
If a change is material, we may provide notice through Sadie, by email, or through another reasonable method before the change becomes effective where required by law.
Your continued use of Sadie after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
37. Governing law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.
Disputes arising from or relating to these Terms or the Services will be brought in the state or federal courts located in Knox County, Tennessee, and you and Archera, LLC consent to the jurisdiction and venue of those courts.
38. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
39. No waiver
If Sadie does not enforce a provision of these Terms at a particular time, that does not waive our right to enforce it later.
40. Assignment
You may not assign these Terms without our consent except where applicable law provides otherwise.
Archera, LLC may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of the business or assets relating to Sadie.
41. Entire agreement
These Terms, Sadie’s Privacy Policy, and any additional terms expressly presented to you constitute the agreement between you and Archera, LLC concerning your use of Sadie.
They supersede prior agreements concerning the same subject matter unless otherwise stated.
